Public offer agreement

1. General Provisions

1.1. This offer is an official proposal from Sole Proprietor “Maksymov Mykola Yuriyovych” (Tax ID: 2984118116), hereinafter referred to as the “Seller,” to conclude a contract for the purchase and sale of goods remotely, i.e., through an online store, hereinafter referred to as the “Agreement.” The Seller publishes this Public Offer on the official website https://inlab.kyiv.ua/.

1.2. The Buyer’s full and unconditional acceptance (acceptance) of the Seller’s offer to conclude an electronic purchase and sale agreement is considered to be the fact of payment by the Buyer for the order under the terms of this Agreement, within the deadlines and at the prices specified on the Seller’s website.

2. Definitions and Terms

2.1. In this Offer, unless otherwise required by the context, the following terms shall have the following meanings:

* “Goods” – models, accessories, components, and accompanying items;

* “Online Store” – in accordance with the Law of Ukraine “On Electronic Commerce,” a means for presenting or selling goods, works, or services through an electronic transaction;

* “Seller” – a company that sells goods presented on the website;

* “Buyer” – an individual who has entered into a contract with the Seller under the terms set forth below;

* “Order” – the selection of specific items from the list of goods indicated by the Buyer when placing an order and making payment.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

3.2. This Agreement governs the purchase and sale of goods in the Online Store, including:

– The voluntary selection of goods by the Buyer in the Online Store;
– The independent placement of an order by the Buyer in the Online Store;
– Payment by the Buyer for the order placed in the Online Store;
– Processing and delivery of the order to the Buyer under the terms of this Agreement.

4. Order Placement Procedure

4.1. The Buyer has the right to place an order for any product presented on the Online Store’s website and available in stock.

4.2. Each item may be included in the order in any quantity.

4.3. If the product is out of stock, the company’s Manager must notify the Buyer (by phone or email).

4.4. If the product is unavailable, the Buyer has the right to replace it with a similar model, refuse the product, or cancel the order.

5. Payment and Delivery Procedure

Cash on Delivery

5.1. Payment is made upon receipt of the goods at the transport company’s office in cash in UAH.

5.2. If payment is not received, the Online Store reserves the right to cancel the order.

Prepayment

5.3. Payment is made before the product is shipped.

5.4. If payment is not received, the Online Store reserves the right to cancel the order.

Order Delivery Conditions

5.5. Доставка товарів, придбаних в Інтернет-магазині, здійснюється до складів транспортних компаній, де й провадиться видача замовлень.

5.6. Together with the order, the Buyer receives documents in accordance with the legislation of Ukraine.

6. Rights and Obligations of the Parties

6.1. The Seller has the right to:

– Unilaterally suspend the provision of services under this Agreement in case of violation of the Agreement by the Buyer.

6.2. The Buyer is obliged to:

– Timely pay for and receive the order under the terms of this Agreement.

6.3. The Buyer has the right to:

– Place an order in the Online Store;

– Conclude an electronic agreement;

– Demand the fulfillment of the Agreement terms by the Seller.

7. Liability of the Parties

7.1. The Parties are liable for non-performance or improper performance of the terms of this Agreement in accordance with the procedure established by this Agreement and the current legislation of Ukraine.

7.2. The Seller is not responsible for:

– Changes in the product’s appearance made by the manufacturer;

– Minor discrepancies in the product’s color range that may differ from the original due to various color transmission settings of individual computer monitors;

– The content and accuracy of information provided by the Buyer when placing an order;

– Delays and interruptions in the provision of services (order processing and product delivery) that occur for reasons beyond its control;

– Illegal actions performed by the Buyer using network access.

8. Product Returns and Exchanges

8.1. Responsibilities of the Parties

8.2. Return Procedure for Online Purchases:

The product can be exchanged within 90 days and returned within 7 days if it has no damage, signs of use or repair, interference with the device, or packaging damage.

– You inform the store manager about your desire to return the product and receive return shipping details.

– You send the product using the provided return details. The refund is processed to a provided bank card number.

– After receiving the returned product, the store checks it for the absence of damage, signs of use or repair, interference with the device, or packaging damage.

– Upon accepting the return, the store transfers the refund to your card.

8.3. The return procedure for in-store purchases is similar to the online return process, except it is conducted in-store without the involvement of delivery services.

8.4. Exchange Procedure for Online Purchases:

– You inform the store manager about your desire to exchange the product and receive return shipping details.

– You send the product using the provided return details.

– After receiving the returned product, the store checks it for the absence of damage, signs of use or repair, interference with the device, or packaging damage.

– Upon accepting the return, the store sends you a new product.

8.5. The exchange procedure for in-store purchases is similar to the online exchange process and is conducted in-store.

8.6. Who Pays for Shipping:

– If the return or exchange is due to a defect, damage, or an error by the store’s staff (e.g., wrong color or size), the store covers the shipping costs.

– If the return or exchange is due to personal preference, the Buyer covers the shipping costs.
